Partner and Lead Terms

These Partner and Lead Terms (“Partner Terms”) apply to the collaboration between SoftwareWatcher B.V. (“SoftwareWatcher”) and software suppliers or other commercial partners (“Partner”) who use the supplier portal, paid services and/or the lead services of SoftwareWatcher.

These Partner Terms supplement the general Terms of Use of SoftwareWatcher. Insofar as these Partner Terms specifically relate to services to Partners, these Partner Terms apply.

1. SoftwareWatcher

SoftwareWatcher operates an independent B2B platform for comparing and selecting business software.

SoftwareWatcher offers software suppliers the opportunity to present and manage their software on the platform and to make use of additional services aimed at online visibility and bringing suppliers into contact with organisations looking for software.

SoftwareWatcher operates independently. Participation in paid services does not give a Partner a preferred position within independent comparisons or recommendations by SoftwareWatcher.

2. Partner package

Partners can make use of the SoftwareWatcher Partner Package.

Depending on the functionality available at the time, the Partner Package may consist of, among other things:

  • a dedicated software or product page;
  • access to the supplier portal;
  • the ability to manage product information yourself;
  • the ability to manage conversion links, such as a website, pricing or trial period link;
  • a backlink to the Partner's website;
  • possible visibility in relevant content, comparisons and articles by SoftwareWatcher;
  • processing of structured product information within SoftwareWatcher's comparison models and AI-assisted advice;
  • optimisation of product information for findability and recognisability;
  • access to SoftwareWatcher's optional lead services.

SoftwareWatcher is continuously developing the platform. The exact content, presentation and technical implementation of functionalities may therefore change over time.

3. AI advice and online visibility

SoftwareWatcher structures and optimises product information so that software products can be better recognised and compared within SoftwareWatcher's platform, comparison models and AI-assisted services.

SoftwareWatcher may also optimise its platform and content for findability by search engines and external AI services.

SoftwareWatcher cannot guarantee that a Partner or software product will be displayed, mentioned, recommended or ranked by external services such as ChatGPT, Gemini, Claude, Google or other third parties.

Nor does SoftwareWatcher guarantee a specific position, number of impressions, website visitors, conversions or other commercial results.

Relevance remains an important principle in SoftwareWatcher's comparisons and recommendations. Paid participation does not guarantee a preferred position within independent advice.

4. Subscription, services and rates

SoftwareWatcher may offer its services on the basis of a subscription, a fixed participation fee, an annual fee, a separate service or another commercial arrangement.

The applicable rates are the rates displayed in the supplier portal at the time of activation or agreed in writing between SoftwareWatcher and the Partner.

Written arrangements include, among others, arrangements recorded by email, via the supplier portal or in a separate agreement.

SoftwareWatcher may offer temporary, promotional, introductory or individual rates.

Unless agreed otherwise, prices are exclusive of VAT.

The costs of separately purchased leads are not automatically included in a subscription or other participation fee, unless expressly agreed otherwise.

5. Term and cancellation

Unless agreed otherwise in writing, a monthly subscription has no minimum term and the Partner can cancel the service at any time.

Cancellation can be made via the supplier portal or by contacting SoftwareWatcher.

Unless agreed otherwise, cancellation takes effect at the end of the current subscription period that has already been paid.

Amounts already due or amounts relating to services delivered before the effective date of cancellation remain payable.

If a Partner opts for an annual or otherwise deviating form of subscription, the term and cancellation conditions stated when that arrangement was entered into apply.

6. Product profile and information

The Partner is responsible for providing correct and sufficiently up-to-date information about the organisation and software, including, where applicable:

  • product information;
  • features;
  • integrations;
  • pricing information;
  • links;
  • images;
  • other relevant data.

SoftwareWatcher may structure, supplement, edit or optimise this information when reasonably necessary for presentation, comparison, search functionality, content creation or AI-assisted services.

The Partner remains responsible for checking its own product information and for reporting material inaccuracies.

SoftwareWatcher may approach the Partner to check or update product information.

7. Optional lead services

SoftwareWatcher can give Partners access to its lead services.

SoftwareWatcher can identify and personally screen organisations that are looking for business software.

When a potentially relevant lead becomes available, SoftwareWatcher can make information about this lead available to the Partner in advance.

The Partner can then decide for itself whether it wants to purchase the lead in question.

Unless agreed otherwise in writing, there is no obligation to take a minimum number of leads.

A Partner is only invoiced for a lead when the Partner chooses to purchase that lead, unless SoftwareWatcher and the Partner have expressly agreed a different way of working.

8. Price of leads

The price of a lead can vary depending on, among other things:

  • the software category;
  • the type of request;
  • the organisation;
  • the size or nature of the software need;
  • commercial arrangements made.

The applicable price is made known to the Partner before purchase or has been agreed separately in writing.

Unless stated otherwise, lead prices are exclusive of VAT.

9. Lead information

After purchasing a lead, the Partner receives the available information needed to follow up the request in question.

SoftwareWatcher makes an effort to provide relevant and as accurate as possible lead information, but cannot guarantee that a lead will result in a conversation, demonstration, quotation, sale or other commercial result.

SoftwareWatcher acts solely as an intermediary between organisations looking for software and participating software suppliers.

Any subsequent commercial relationship or agreement is concluded solely between the Partner and the prospective customer in question.

10. Invalid leads and cancellation

If, after purchase, a lead proves demonstrably incorrect or invalid, the Partner can ask SoftwareWatcher for cancellation or a credit.

This may be the case, for example, when:

  • there is a demonstrable duplicate lead that was recently already delivered by SoftwareWatcher to the same Partner;
  • the contact details provided are demonstrably incorrect;
  • the organisation or request clearly does not match the information presented to the Partner before purchase;
  • the prospective customer confirms that no relevant software request was made;
  • another ground for cancellation was agreed in advance between SoftwareWatcher and the Partner.

A lead does not automatically qualify for cancellation when:

  • the prospective customer does not respond;
  • the prospective customer does not continue the selection process;
  • the prospective customer chooses another supplier;
  • no software is ultimately purchased.

A request for cancellation or credit must be submitted to SoftwareWatcher within the applicable period and contain sufficient information for the request to be assessed.

The applicable period may be stated via the supplier portal, with the lead or in a separate commercial arrangement.

SoftwareWatcher assesses such requests reasonably on the basis of the available information.

11. Invoicing and payment

SoftwareWatcher invoices the Partner for the agreed paid services, subscriptions, leads and any other services.

The applicable payment term is stated on the invoice or has been agreed separately in writing.

Any objections to an invoice must be reported to SoftwareWatcher as soon as possible.

An objection to part of an invoice does not release the Partner from the obligation to pay the undisputed part on time.

12. Use of lead information and privacy

Information provided to the Partner in the context of a purchased lead may only be used for following up the software request in question and directly related commercial communication.

The Partner is independently responsible for the processing of personal data received via SoftwareWatcher and must act in accordance with applicable privacy legislation.

Lead information may not be resold or provided to uninvolved third parties for other commercial purposes.

13. Changes to services and rates

SoftwareWatcher is continuously developing and improving its platform and may change, replace or discontinue functionalities.

SoftwareWatcher may also change rates.

A rate change is not retroactive for amounts already due.

When a rate change applies to an existing ongoing subscription, SoftwareWatcher informs the Partner concerned in advance, within a reasonable period.

In that case the Partner is given the opportunity to cancel the subscription before the new rate applies, unless other arrangements have been made separately.

14. Suspension and termination

SoftwareWatcher may suspend or terminate a Partner's access to its services when reasonably necessary, for example in the event of:

  • non-payment;
  • misuse of the platform;
  • misuse of lead information;
  • materially incorrect or misleading product information;
  • breach of these Partner Terms;
  • conduct that may harm SoftwareWatcher, its users or the reliability of the platform.

Where reasonably possible, SoftwareWatcher first gives the Partner the opportunity to remedy the situation in question.

15. Liability and commercial results

SoftwareWatcher offers a platform, visibility, comparison functionality and lead services, but does not guarantee any specific commercial result.

SoftwareWatcher does not guarantee, among other things:

  • a particular position in search results, comparisons or AI advice;
  • visibility or recommendations by external AI platforms or search engines;
  • a minimum number of website visitors;
  • a minimum number of clicks;
  • a minimum number of leads;
  • conversion of leads into customers;
  • revenue or other financial results as a result of participation.

Nothing in these Partner Terms excludes liability to the extent that such exclusion is not permitted under mandatory law.

16. Changes to these Partner Terms

SoftwareWatcher may change these Partner Terms when reasonably necessary, for example because of changes in:

  • the platform;
  • services offered;
  • the pricing model;
  • ways of working;
  • laws and regulations.

When a material change affects an existing paid service, SoftwareWatcher informs the Partners concerned within a reasonable period before the change takes effect.

The current version of the Partner Terms is made available via the website, the supplier portal and/or by email.

17. Applicable law

Dutch law applies to these Partner Terms and the relationship between SoftwareWatcher and the Partner.

Disputes will be submitted to the competent Dutch court, insofar as mandatory law does not provide otherwise.
